1. This site (the “iSupplier Portal”, the “Portal”, “MOOD Supplier Portal”, or the “Site”) is available to current clients Suppliers of DMX, LLC d/b/a Mood Media and Muzak LLC d/b/a Mood Media (collectively, “Mood Media”). You, as a current supplier of Mood Media (“You”), may use this Site to review information related to your account, including but not limited to monitoring account activity, managing account balances, submitting and printing invoices, making payments to Mood Media, and reviewing payment applications. You may not use this Site for any other purposes.
   
   
2. Your use of this Site, or any part thereof, shall be deemed Your acceptance of these iSupplier Terms of Use (“Terms of Use”), which include Mood’s Purchase Order Terms and Conditions, which may be accessed at: http://us.moodmedia.com/sourcing-and-procurement.php. The Mood Privacy Policy may be accessed at the same url.
   
   
3. This Site and its contents are provided “as is” without warranty of any kind, either expressed or implied. Mood Media assumes no responsibility for errors or omissions in these contents. Mood Media does not warrant, guarantee or make any representation regarding the reliability, accuracy, correctness or completeness of these contents. Mood Media shall not be liable for any direct, indirect, general special, incidental or consequential damages, including, without limitation, lost revenues and lost profits, even if Mood Media has been informed of the possibility of such damages.
   
   
4. You understand and agree that all the designs and trademarks featured on the Site are the property of Mood Media and its affiliates, and You agree not to copy or duplicate the trademarks and designs directly or indirectly in any way.
   
   
5. You should designate one user (the “Primary User”) to ensure all data is entered correctly and maintained in their profile management. Other users may be added by the Primary User so that the system may be accessed and allow for communication between Mood Media and You.
   
   
6. Mood Media reserves the right to modify, temporarily or permanently, the Site, or any part thereof, without notice to You, and You confirm that Mood Media shall not be liable to You or any third party for any modification to or withdrawal of the Site.
   
   
7. Mood Media reserves the right to change the Site and these Terms of Use from time to time, and Your continued use of the Site, or any part thereof, following such change shall be deemed to be your acceptance of such change. It is Your responsibility to check regularly to determine whether the Terms of Use have been changed. If you do not agree to any change to the Terms of Use, then you must immediately stop using the Site.
   
   
8. These Terms of Use are made in the State of Texas. Any controversy, claim or dispute arising out of or relating to these Terms and Conditions shall be settled solely and exclusively by binding arbitration in Austin, Texas, according to the laws of the State of Texas, without regard to conflict of laws, and the arbitrator's judgment on the law of the jurisdiction shall be final and binding.
